Chase Bank Kenya was once a prominent commercial bank in Kenya, offering a variety of financial services to its vast clientele. Established in 1996, the bank became an essential player in Kenya’s banking sector before facing major challenges that ultimately led to its liquidation and merger with SBM Bank Kenya. Despite its turbulent ending, Chase Bank’s contributions to the Kenyan banking sector and its legacy continue to be recognized.

History and Formation

Chase Bank Kenya was originally founded in 1996 under the name United Bank (Kenya). The bank was established when several business individuals acquired a 60% stake in the bank, which had been in receivership. The new owners rebranded it to Chase Bank and relocated its headquarters from Kisumu to Nairobi, the capital city of Kenya.

Over the years, Chase Bank built a solid reputation by improving its customer base and financial performance. By 2015, it had grown into one of the largest private banks in Kenya, with total assets valued at approximately US$1.428 billion and shareholders’ equity of US$119.7 million.

Challenges and Statutory Management

In April 2016, Chase Bank encountered serious liquidity problems. Reports revealed that the bank had underreported insider loans and failed to meet the required statutory banking ratios, leading to its placement under receivership by the Central Bank of Kenya (CBK). The closure was triggered after the resignation of two of its directors, which led to concerns about the bank’s financial health.

During the receivership, the Kenya Commercial Bank (KCB) was appointed as the receiver manager to restore order and stabilize operations. The bank reopened in late April 2016, but its problems were far from over. The bank’s profits had dropped significantly from KSh 2.3 billion in 2014 to KSh 742 million in 2015. Additionally, its non-performing loans surged from KSh 3 billion in 2014 to KSh 11 billion in 2015, worsening the bank’s financial outlook.

Liquidation and Merger with SBM Bank

The problems facing Chase Bank culminated in a merger with State Bank of Mauritius (SBM) in April 2018. SBM Kenya acquired 75% of Chase Bank’s deposits, branches, and staff, while the remaining assets and liabilities were handed over to the Kenya Deposit Insurance Corporation for liquidation. This marked the official end of Chase Bank as an independent entity.

Despite the challenging end, the merger with SBM Bank helped preserve some of the bank’s operations and protect its depositors and staff.

Ownership and Shareholders

At the height of its success, Chase Bank attracted various international and local investors. In March 2013, Amethis Finance, a French development finance company, invested US$10.5 million into the bank. Other notable investors included Rinascimento Global Limited, Shegas Limited, and Balst Investment Holdings Limited, among others.

The bank’s ownership was diverse, with both local and international stakeholders holding significant equity in the institution. As of April 2015, the ownership breakdown was as follows:

Branch Network and Operations

At its peak, Chase Bank operated over 60 branches in Kenya, with a strong presence in major cities such as Nairobi, Mombasa, Kisumu, Nakuru, and Eldoret. The bank offered various services including personal loans, savings accounts, investment products, and debit cards.

Chase Bank also expanded its services through subsidiaries, including RAFIKI Microfinance Bank Limited and Chase Insurance Agency Limited.

Impact on Kenya’s Banking Sector

Chase Bank’s rise to prominence within Kenya’s banking sector showcased the potential of private banks to make a significant impact. While the bank’s ultimate demise was unfortunate, its contribution to the growth of Kenya’s banking infrastructure, the employment of thousands of individuals, and its participation in Kenya’s economic development cannot be understated.

Despite its struggles, Chase Bank played an important role in the financial inclusion movement, bringing banking services to underbanked populations in Kenya.

Conclusion

Chase Bank Kenya was a major player in the country’s financial sector for over two decades, growing from a small bank to a significant financial institution. However, due to mismanagement, liquidity issues, and other financial challenges, it was eventually placed under receivership, liquidated, and merged into SBM Bank. Despite its challenges, the bank’s legacy remains, and the merger allowed many of its operations and services to continue under SBM Bank.

Governance

The bank was governed by an eight-person board of directors. Musoni Kuria, was the Chairman of the Board. Paul Njaga, served as the managing director and chief executive officer.
