Access Bank Kenya, officially known as Access Bank (Kenya) PLC, is a commercial bank in Kenya and a subsidiary of Access Bank Group, a major banking conglomerate based in Nigeria. Formerly Transnational Bank Kenya PLC, the bank has undergone significant transformations, including a rebranding and acquisition by Access Bank Group in 2020.

History and Evolution

Founded in 1984 as Transnational Finance Company (TNFC), the institution initially operated as a non-bank financial institution, offering services like loans and lease-purchase arrangements to both depositors and non-depositors. In 1985, TNFC transitioned into Transnational Bank after receiving a commercial banking license from the Central Bank of Kenya (CBK), marking its entry into the banking sector. Over time, the bank expanded its services and presence in key Kenyan cities such as Nairobi and Mombasa.

Between 1985 and 1996, Transnational Bank merged all TNFC activities, ceasing the TNFC brand’s existence. The bank also introduced innovative services, such as Internet banking and mobile banking in 2009, catering to Kenya’s growing demand for digital banking services.

Acquisition by Access Bank Group

In October 2019, Access Bank Nigeria received approval from the Competition Authority of Kenya (CAK) to acquire 93.57% of Transnational Bank Kenya. January 2020 saw the approval of Access Bank Group acquiring up to 100% of the bank’s shares, completing the acquisition by August 2020. The bank was subsequently rebranded to Access Bank (Kenya) PLC.

The acquisition was part of Access Bank Group’s broader strategy to expand its footprint in Africa, with Kenya serving as a key entry point into the East African financial market.

Financial Overview and Performance

As of 2015, Access Bank Kenya reported total assets of KES 105.84 million (US$10.53 billion), with shareholders’ equity standing at KES 20.43 million (US$2.03 billion). The bank continues to serve the Kenyan market with a focus on various financial products, including loans, checking accounts, savings accounts, investments, and debit cards.

Branch Network and Accessibility

As of December 2013, Access Bank Kenya operated 17 branches across Kenya, ensuring its services were available to customers nationwide. With the growth of mobile and internet banking, the bank has also expanded its digital services, enabling customers to access banking services remotely.

Shareholding and Ownership

Before the acquisition by Access Bank Group, the shares of Transnational Bank Kenya were held privately by Kenyan institutions and individuals. After the acquisition, Access Bank Group became the majority shareholder, holding 68.5% of the bank’s stock, with the remaining shares held by other private investors and entities.

Future Prospects and Strategic Plans

Access Bank Kenya’s future growth is tied to the ongoing expansion of Access Bank Group across Africa. A potential merger with Sidian Bank was planned for 2023, which would combine the assets of both banks, strengthening Access Bank Kenya’s market position. However, the deal was called off in January 2023 after negotiations with Centum Investment Company Plc lapsed.

Conclusion

Access Bank Kenya, with its rich history and transformation under the Access Bank Group umbrella, continues to be a key player in Kenya’s financial sector. The bank’s strategic focus on expanding digital banking services and potential future mergers indicates its commitment to maintaining a competitive edge in East Africa’s rapidly evolving financial market.
